Client Responsibilities

To ensure the successful delivery of our SEO services, you agree to:

  • Provide all necessary access to your website (admin credentials, FTP, CMS, etc.), content management systems, social media accounts, or any other necessary resources.
  • Respond promptly to requests for approvals, information, or decisions.
  • Authorize us to make modifications to your website for SEO purposes.
  • Ensure that your website complies with all applicable laws and regulations.

Failure to fulfill these obligations may result in delays or hinder the effectiveness of the services.

Fees and Payment Terms

  • Payment Schedule: The fees for services will be as outlined in the Service Agreement or invoice. Payments may be due upfront, monthly, or upon project completion, depending on the service plan.
  • Late Payments: If payment is not received within [X] days of the due date, services may be paused or terminated. Late payments may incur a [X]% late fee.

SEO Results and Guarantees

  • No Guaranteed Rankings: While we will make every effort to improve your search engine rankings, SEO is an unpredictable and constantly changing industry, affected by search engine algorithm updates, competitors, and other factors beyond our control. Therefore, we do not guarantee specific rankings or traffic increases.
  • Timeframes: SEO is a long-term strategy that may take months to deliver significant results. The time required for noticeable improvements depends on various factors, including your current website state, competition, and keyword difficulty.

Confidentiality

Both parties agree to keep confidential all information exchanged during the engagement, including business information, strategies, and sensitive data related to SEO services. Confidential information will not be shared with third parties without prior written consent, except as required by law.

Intellectual Property

  • Ownership: All content, data, reports, and deliverables created by us as part of the SEO services shall remain the intellectual property of Site Boosters until full payment has been made.
  • Client Materials: You grant us the right to use any of your logos, trademarks, or website content provided for SEO purposes.

Third-Party Services

  • We may use third-party services, software, or tools (e.g., Google Analytics, Ahrefs, SEMrush) as part of our SEO efforts. While we make reasonable efforts to choose reliable tools, we are not responsible for any failures, errors, or data breaches associated with third-party services.
  • We are not responsible for any third-party services or tools that may be recommended or integrated as part of the SEO process (e.g., hosting providers, analytics platforms).

Client Website Security

You are responsible for ensuring that your website is secure from hacking, malware, or unauthorized access. We are not responsible for any damages, ranking drops, or penalties caused by security breaches or technical failures on your website.

Term and Termination

  • Term: This Agreement begins on the date the service commences and continues until terminated by either party.
  • Termination by Client: You may terminate this Agreement at any time by providing [X] days’ written notice. Any work completed up to the termination date will be billed.
  • Termination by Site Boosters: We reserve the right to terminate services immediately if:
    • You fail to pay any outstanding fees.
    • There is a breach of these Terms and Conditions.
    • You engage in any unethical practices, including but not limited to spamming, illegal content, or black-hat SEO tactics.

Upon termination, all access to services, tools, or deliverables will be revoked unless full payment has been made for services rendered.

Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, or consequential damages, including lost profits, even if advised of the possibility of such damages.
  • Our total liability for any claim arising out of or relating to this Agreement shall not exceed the total amount paid for services during the [X] months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Site Boosters from any claims, damages, losses, or expenses, including reasonable legal fees, arising out of your breach of this Agreement, your use of our services, or any violation of law or third-party rights.

SEO Ethics and Compliance

  • We adhere to ethical “white-hat” SEO practices and comply with search engine guidelines. We will not engage in any unethical SEO tactics (e.g., keyword stuffing, cloaking, link farms).
  • You agree not to request or encourage the use of any unethical SEO techniques. Any unethical behavior may result in the immediate termination of services without refund.

Amendments to Terms

We reserve the right to modify these Terms and Conditions at any time. Any changes will be posted on our website, and you will be notified of material changes. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.

Governing Law
